1. Acceptance of Terms

By accessing or using Trader Discipline Journal (“the Service”), provided by VASA Trend AI LLC, a Delaware limited liability company, doing business as “VASA Traders” (“we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Trader Discipline Journal is an educational trading-journal and behavioral-analysis platform that helps users review their own trading history, identify behavioral and risk-management patterns, and build trading-discipline habits. Features include trade journaling, analytics, rule monitoring, AI-assisted coaching feedback, and educational content. The Service is accessible via web browser at vasatraders.com/discipline-journal and as a progressive web app.

3. Not Financial Advice

The Service does not provide financial, investment, or trading advice. All AI-assisted analysis, educational learning content, coaching feedback, and analytics are for informational and educational purposes only. They do not constitute recommendations to buy, sell, or hold any financial instrument. You are solely responsible for your trading decisions and should consult a qualified financial advisor before making investment decisions.

Past performance data and statistics displayed within the Service are not indicative of future results. Trading involves substantial risk of loss and is not suitable for all investors.

4. Account Registration

To use the Service, you must create an account by providing a valid email address and password, or by authenticating through Google OAuth. You agree to provide accurate information and to keep your login credentials secure. You are responsible for all activity under your account.

You must be at least 18 years of age to use the Service.

5. Subscriptions and Payments

The Service offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel.

You may cancel your subscription at any time through the billing settings page or Stripe customer portal. Cancellations take effect at the end of the current billing period. We do not offer refunds for partial billing periods.

We reserve the right to change pricing with 30 days' notice. Existing subscribers will be notified by email before any price change takes effect.

6. User Data and Trade Information

You may provide your own trade-history data to the Service via CSV upload, manual entry, or an optional read-only connection to your broker (for example, Interactive Brokers) that imports your past trade records only. Any such connection is read-only and is used solely to import your trade history for educational analysis: the Service does not place, modify, cancel, or execute trades, and cannot access, move, or withdraw funds. VASA Traders does not ask you to enter any brokerage credentials on our website. You retain ownership of the trade-history data you provide, and we use it solely to provide the Service features, including AI-assisted analysis, analytics, and coaching.

You represent that you have the right to upload any data you provide and that such data does not violate any third-party rights.

7. AI-Generated Content

The Service uses artificial intelligence (Anthropic Claude) to generate behavioral analysis, educational learning content, and coaching feedback. AI outputs may contain errors, inaccuracies, or unsuitable recommendations. You should independently verify any AI-generated content before acting on it.

We do not guarantee the accuracy, completeness, or suitability of any AI-generated content for your specific situation.

8. Read-Only Trade-History Import (No Trading)

The Service is not a broker and does not place, execute, or support any trading. An optional read-only connection to a third-party broker (such as Interactive Brokers) may be used solely to import your own past trade records for educational analysis. This connection is read-only: the Service cannot place, modify, cancel, or execute trades, and cannot access, move, or withdraw funds. VASA Traders does not ask you to enter any brokerage credentials on our website and does not execute trades on your behalf.

9. Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Attempt to gain unauthorized access to the Service or its systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Share your account credentials with others or create multiple accounts
• Upload malicious files, viruses, or harmful content

10. Intellectual Property

The Service, including its design, code, AI models, educational content, and branding, is owned by VASA Trend AI LLC (dba VASA Traders) and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

11. Limitation of Liability

To the maximum extent permitted by law, VASA Trend AI LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, or other intangible losses, resulting from your use of or inability to use the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13. Account Termination

We may suspend or terminate your account at any time for violation of these terms. You may delete your account at any time through the settings page. Upon termination, your data will be deleted in accordance with our Privacy Policy.

14. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email or by posting a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

15. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the courts of the State of Delaware.
